AMENDMENTS TO ARTICLES OF ASSOCIATION

Ministry of Commerce

An electronic service provided by the Ministry of Commerce through the Saudi Business Center platform, which enables beneficiaries to electronically amend their company's Articles of Association. This can be done by amending any article of the contract or updating it to comply with the new legislative system for companies, as stipulated by Royal Decree No. (M/132), dated 01/12/1443 AH, without the necessity of visiting the Saudi Business Center or Ministry branches.

Access the platform: Via the unified national access or the investor account through the Saudi Business Center platform.
Select the service: From "Electronic Services" > "Amendment to the Articles of Association/Bylaws".
Start the service: Agree to the terms of service, then click "Apply for the service".
Amendment to the Articles of Association/Bylaws: Enter the establishment's unified national number.

An active and unexpired commercial registration.
An investment license is required if the company is a foreign or mixed company.
An extraordinary general meeting resolution or shareholders' resolution is required if the company is a joint-stock or simplified joint-stock company.
Verify the following if the company's status is (professional): - Observing the legal quorum if the board of directors or management is amended. - The partner must be licensed if the amendment involves adding a professional partner.
Verify the following if the company is (limited liability, limited partnership, or joint liability): - A license or preliminary approval from the Saudi Central Bank is required if the activity requires it. - Amending the investment license if required. - The directors must not be government employees. - The applicant must be the company manager or an authorized representative electronically authorized by the company.
