An electronic service provided by the Ministry of Commerce, which allows beneficiaries to submit a request to liquidate the company and delete its commercial register, if the company has been operating or not operating since the company's establishment until the date of the decision of the partners or the extraordinary general assembly/capital owner to liquidate.

Choose a new request.
View the procedures and instructions and choose Continue.
Fill in the company data.
Read the user agreement and agree to the terms and choose Save and Continue.
Add the company authorization file in pdf format.
Download the company liquidation decision form.
Fill in the form data and modify the decision.
Click on Continue.
Choose the company form.
Choose the type of decision: liquidation of the company.
Add the commercial registration number.
Agree to the terms and conditions and choose Save and Continue after reading.
Add the company file in pdf format.
Choose Save and Continue.
Note To obtain the company liquidation form, enter the ministry's website and choose Evidence and Procedures, then choose Service Forms and choose the Liquidation Decision Form (Practicing/Not Practicing).
Attach the form in Word format and acknowledge the pledge and attach supporting documents and papers by adding a new attachment and choosing Save and Continue.
Add the applicant's notes - if any -.
Choose to send the request.
Study the request by the competent employee and approve it.
Issue a payment invoice.
The fees are paid and then the application is documented and published electronically.
Log on to the digital branch and fill out the commercial register cancellation application form.
Accept the application and cancel the commercial register.

If the company is (foreign, mixed, or a foreign branch headquartered outside the Kingdom), the approval of the Ministry of Investment to Company Liquidation must be attached.
If the company is licensed by the Central Bank, the approval of the Central Bank to Company Liquidation must be attached.
If the company is licensed by the Capital Market Authority, the approval of the Capital Market Authority to Company Liquidation must be attached.
If the company to be liquidated owns shares/stocks in other companies, the company must exit them.
If the company's printed materials are not available, A4 showing the company's data and the commercial registration number must be added at the top of the document.
The signatures of the partners must be authenticated by one of the following entities (Chambers of Commerce - Ministry of Commerce employee - one of the banks in the Kingdom).
In the event that the company (limited liability - joint liability - simple limited partnership) has not been operating since its establishment, all partners must agree and sign the liquidation decision.
In the event that the company (joint stock - simplified joint stock) has not been operating since its establishment, the liquidation decision is taken through the extraordinary general assembly or unanimous shareholders' decisions.

(Liquidation of a practicing company): 1- The partners’ liquidation decision signed and certified according to the approved form, and the decision to announce the liquidation of the company signed and certified by the company’s liquidator appointed by a decision of the partners according to the approved form. 2- Attaching the approval of the Ministry of Investment if the company is licensed by the Ministry of Investment. 3- Attaching the approval of the Central Bank if the company is practicing activities supervised by the bank. 4- Attaching the approval of the Capital Market Authority if the company is practicing activities subject to the supervision of the Capital Market Authority. 5- Submitting a statement from the company’s managers or members of its board of directors - before the partners, general assembly or shareholders decide to dissolve the company - stating that they have examined the company’s conditions, and including confirmation that the company’s assets are sufficient to pay its debts by the end of the proposed liquidation period and that the company is not in default according to the bankruptcy system. This statement shall be presented within (thirty) days from the date of its preparation to the partners, general assembly or shareholders to take a decision to dissolve the company. 6- Submitting a second request including the month of the end of the liquidation according to the approved form and approving it. 7- A financial report on the liquidation work showing that there are no obligations on the company and that it is signed by all partners and the signatures are certified (final account).
(Liquidation of a non-practicing company): 1- Filling out the partners’ decision to liquidate and certify it. 2- Attaching the approval of the Ministry of Investment if the company is licensed by the Ministry of Investment. 3- Attaching the approval of the Central Bank if the company is practicing activities supervised by the bank. 4- Attaching the approval of the Capital Market Authority if the company is practicing activities subject to the supervision of the Capital Market Authority.
